1. Definitions

In these Terms and Conditions, unless the context requires otherwise:

  • "Service" refers to any property search, lease readiness review, tenancy management, or related advisory services provided by Heronwick
  • "Client" or "You" refers to the individual or entity engaging our services
  • "We," "Us," or "Our" refers to Heronwick
  • "Agreement" refers to these Terms and Conditions together with any service-specific engagement letter or contract
  • "Website" refers to heronaros and all associated web pages

2. Acceptance of Terms

By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our services.

You must be at least 18 years of age and have the legal capacity to enter into contracts under Singapore law to engage our services.

3. Service Description

Heronwick provides property advisory services in Singapore, including:

  • Heritage property search and matching services
  • Expatriate lease readiness reviews and orientation
  • Full tenure residence partnership and tenancy management

The specific scope of services will be detailed in your service engagement letter. Services are available within Singapore only and are subject to availability.

4. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information regarding your property requirements and circumstances
  • Respond promptly to requests for information or documentation
  • Review all documents and recommendations carefully before making decisions
  • Make your own informed decisions regarding property selection and lease terms
  • Fulfill all payment obligations as specified in your service agreement
  • Conduct yourself professionally in all interactions with property owners, landlords, and our team

5. Service Fees and Payment

Service fees are as specified in your engagement letter and are payable in Singapore Dollars (SGD). Payment terms vary by service:

  • Heritage Home Search: Fee payable upon engagement before services commence
  • Expatriate Lease Readiness Review: Fee payable before delivery of written guide and consultation
  • Full Tenure Residence Partnership: Fee payable in installments as specified in engagement letter

Accepted payment methods include bank transfer, PayNow, and credit card (subject to processing fees). All fees are non-refundable once services have commenced, except as required by law.

Fees are exclusive of GST (Goods and Services Tax), which will be added where applicable under Singapore tax law.

6. Scope and Limitations of Services

Our services are advisory in nature. We provide guidance, recommendations, and support, but:

  • We do not make decisions on your behalf regarding property selection or lease terms
  • We are not legal or financial advisors and do not provide legal or financial advice
  • We do not guarantee property availability, lease approval, or specific outcomes
  • We recommend you seek independent legal advice before signing any lease agreement

While we make every effort to provide accurate information, property details, availability, and pricing are subject to change and should be verified directly with property owners or landlords.

7. Intellectual Property

All content on our website and in our service materials, including text, graphics, logos, images, and software, is the property of Heronwick or our licensors and is protected by Singapore and international copyright laws.

You are granted a limited, non-exclusive license to access and use our materials solely for the purpose of engaging our services. You may not reproduce, distribute, modify, or create derivative works without our written permission.

8. Confidentiality

We maintain strict confidentiality regarding all client information and property details shared with us. We will not disclose your information to third parties except:

  • When necessary to provide our services (such as sharing information with property owners)
  • With your explicit consent
  • When required by law or legal process

9. Disclaimers

Our services are provided "as is" without warranties of any kind, either express or implied. We disclaim all warranties including:

  • Warranties of merchantability or fitness for a particular purpose
  • Guarantees of specific results or outcomes
  • Warranties regarding the accuracy or completeness of third-party information

Property rental markets are dynamic and subject to factors beyond our control. Historical performance or past client experiences do not guarantee future results.

10. Limitation of Liability

To the maximum extent permitted by Singapore law, our total liability to you for any claims arising from or related to our services shall not exceed the fees paid by you for the specific service giving rise to the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits or business opportunities
  • Loss of data or information
  • Costs of procurement of substitute services
  • Any damages arising from property conditions, landlord actions, or lease disputes

These limitations apply even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify and hold harmless Heronwick, its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of our services, your violation of these terms, or your violation of any rights of another party.

12. Termination

Either party may terminate the service engagement by providing written notice as specified in the engagement letter. Upon termination:

  • Fees for services already provided remain due and payable
  • We will provide all completed work and documentation to date
  • Confidentiality obligations continue beyond termination

We reserve the right to terminate services immediately if you breach these terms or engage in conduct we deem inappropriate or unethical.

13. Dispute Resolution

In the event of any dispute arising from or relating to these terms or our services:

  • The parties agree to first attempt to resolve the dispute through good faith negotiations
  • If negotiations fail, either party may refer the dispute to mediation
  • Any unresolved disputes shall be subject to the exclusive jurisdiction of the Courts of Singapore

These terms shall be governed by and construed in accordance with the laws of Singapore.

14. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including acts of God, natural disasters, government actions, pandemics, strikes, or telecommunications failures.

15. General Provisions

15.1 Entire Agreement

These Terms and Conditions, together with your service engagement letter, constitute the entire agreement between you and Heronwick regarding our services.

15.2 Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer your rights or obligations under these terms without our written consent. We may assign our rights and obligations with reasonable notice to you.

15.5 Notices

All notices under these terms shall be in writing and delivered by email to the address provided in your engagement letter or by registered mail to our business address.

16. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services after changes are posted constitutes acceptance of the modified terms. Material changes affecting existing service engagements will be communicated directly to affected clients.
